Seminar overview

A workshop introducing delegates to basic structures and types of contracts and the key clauses in them. The first session of the workshop will explore the contract formation process and common types of commercial contracts. In the second session we will take a more detailed look at some of the key clauses in commercial contracts, such as rights to terminate and limitations on liability and will also identify the key issues arising from the supply of services by local government. We will conclude the workshop by identifying the most commonly used industry standard construction contracts and explaining the differences between them. The workshop will be at an introductory level and is suitable for junior lawyers.

Speaker profiles:

Sarah Hooker is a Senior Associate at Geldards who has specialised in commercial contracts since joining Geldards in 2005.  As well as drafting, advising on and negotiating supply agreements and terms and conditions across a breadth of sectors, Sarah is also involved in larger-scale projects and has undertaken secondments with two key clients of the firm.  Sarah has also advised clients on the outsourcing of certain business support services.

Joanne Thompson an Associate at Geldards qualified into our Infrastructure and Construction team in September 2012, having completed her training contract at Geldards. Joanne undertakes a wide range of project work for both public and private sector clients, drafting and negotiating a host of construction documents, including framework documents, various forms of building contract, professional appointments, warranties and security documents. Joanne also advises both employers and contractors/subcontractors on a variety of construction disputes.

Vincent King, a Partner at Weightmans is a projects and commercial lawyer who advises local authorities on PFI, PPPs, outsourcing,  joint venture arrangements,  new corporate and contractual structures and funding models, using both model form and bespoke contract documents. Recently he has advised on the setting up of new corporate structures and new service delivery models. He has a good understanding of procurement law and has advised clients when establishing and using frameworks and call-off contracts. He regularly speaks at seminars for local authority clients on matters such as commissioning, contract management and shared services.
