Suitable audience:

Local authority lawyers and HR professionals who are likely to encounter TUPE scenarios

Overview:
The course will be a detailed, interactive workshop aimed at individuals who have at least a basic knowledge/experience of TUPE transfers (whether from a legal, HR or operational perspective) and who want the opportunity to explore in detail the legal and practical issues that arise.
Topics to be covered include:

• Identifying a TUPE transfer
• Joint ventures
• Fragmentation of services
• Sub-contractors
• Identifying who transfers
• Issues of assignment
• Practical issues arising where services are fragmented
• Common practical issues
• Uncooperative outgoing contractors
• Running the tender process with limited employee information
• Pensions issues
• Drafting TUPE provisions
• Exit provisions
• Indemnities

Interactive elements

The course is intended to be interactive, with attendees working in small groups to discuss questions and case studies.

Duration: Half a day (3 training hours) including lunch

Presenter profiles:

Matt McBride is an Employment Partner at Freeths LLP and has been dealing with TUPE issues on a day-to-basis for the last 16 years, including:

• providing support on the employment and pensions aspects of a range of transactions and contracting exercises
• working alongside the HR and Legal Departments of a number of large organisations (including public sector bodies), providing immediate and practical solutions to TUPE issues
• delivering bespoke TUPE workshops to HR, commercial and legal departments.
